1. About these terms

These Business Partner Terms & Conditions govern participation by businesses in the PerkCircle membership scheme.

They form an agreement between:

PerkCircle, operated by Jamie Wassall, referred to as “PerkCircle”, “we”, “us” or “our”;

and

the business applying to participate in PerkCircle, referred to as the “Business Partner”, “you” or “your”.

The agreement consists of:

The agreement begins when PerkCircle confirms that the Business Partner’s application has been accepted.

By signing a Business Partner Sign-Up Form, accepting electronically or otherwise confirming participation in writing, the Business Partner confirms that it has read, understood and accepted these terms.


2. About PerkCircle

PerkCircle is a local membership rewards scheme designed to connect local residents with participating independent businesses.

Members receive a personalised PerkCircle membership card. They may present that card at participating businesses to access the offers displayed through PerkCircle.

PerkCircle promotes participating businesses and their offers. PerkCircle does not sell or supply the Business Partner’s products or services and is not a party to transactions between members and Business Partners.


3. Business eligibility and applications

Applications are welcomed from independent businesses operating within the relevant PerkCircle membership area.

The initial PerkCircle scheme covers Whitby and the published surrounding membership area.

Every application is subject to approval. PerkCircle may decline or request amendments to an application where:

Acceptance is at PerkCircle’s reasonable discretion.

There is no limit on the number of eligible businesses that may participate. Participation is non-exclusive, and PerkCircle may accept other businesses offering similar products or services.


4. Cost of participating

Joining PerkCircle as a Business Partner is free.

The Business Partner remains responsible for the financial cost of providing its chosen member offer.

Charges may arise only where:

Any proposed charge will be explained and agreed before it is incurred.


5. Participation period

The Business Partner agrees to participate for the period recorded on its accepted Sign-Up Form.

The standard PerkCircle membership year runs from:

1 April to 31 March

PerkCircle may operate a shorter winter introductory period before the beginning of a standard annual membership year. The applicable dates will be recorded on the Sign-Up Form.

The Business Partner commits to maintaining an active member offer throughout its full participation period.

Participation does not automatically renew unless PerkCircle and the Business Partner agree to renewal in writing.

Participation cannot be transferred to another business, location or owner without PerkCircle’s written agreement.


6. Choosing a member offer

The Business Partner chooses the reward it wishes to provide to PerkCircle members.

Offers may include:

PerkCircle may ask for the offer or its wording to be clarified or amended before publication.

The Business Partner remains responsible for deciding whether the offer is suitable for its business.


7. Offer conditions and exclusions

The Business Partner may apply reasonable conditions to its offer.

The Business Partner must not introduce additional conditions retrospectively after a member has made a qualifying purchase or reservation.

Unless the published offer specifically states otherwise, PerkCircle offers cannot be combined with another discount, voucher, loyalty reward or promotion.


8. Final redemption date

Every PerkCircle offer must have a clearly stated final redemption date.

No offer will be published without one.

The final redemption date is the last date on which the member may actually receive or use the reward. It is not simply the final date on which a reservation can be made.

For example, where an offer has a final redemption date of 31 March, the qualifying:

must take place on or before 31 March.

A reservation made before the final redemption date for a visit taking place after that date will not qualify unless the published offer expressly states otherwise.

Where the final redemption date falls before the end of the Business Partner’s participation period, a replacement offer must be agreed and ready to begin immediately after the existing offer ends.

The Business Partner must provide the replacement offer early enough for it to be approved and published before the existing offer reaches its final redemption date.

There must be no gap during which the Business Partner has no active PerkCircle offer.


9. Reservations made under an offer

The Business Partner must honour a reservation made in reliance on a published PerkCircle offer where:

Where an offer is later changed or replaced, qualifying reservations made while the previous offer was active must still be honoured under the terms that applied when the reservation was made.

The Business Partner must not retract or change an offer in a way that unfairly disadvantages a member who has already made a qualifying reservation in reliance on it.


10. Continuous offer requirement

A valid PerkCircle member offer must remain active throughout the Business Partner’s full participation period.

The Business Partner must not simply:

Changing an offer does not remove the Business Partner’s responsibility to honour qualifying reservations made under the previous offer.

11. Changing the core offer

During each standard annual membership year, the Business Partner may request up to:

Changes beyond the four free annual changes may incur a reasonable administration fee.

Any administration fee will be confirmed and agreed before the change is processed. PerkCircle will not impose a charge retrospectively.

The change allowance for any shorter introductory membership period will be confirmed separately.


12. Additional promotions

The Business Partner may submit additional short-term, seasonal or promotional offers during the year.

An additional promotion:

PerkCircle may promote additional offers through its website, social-media channels, member communications or other marketing.

PerkCircle does not guarantee a specific amount or frequency of promotion.


13. Membership-card verification

Members should present their personalised PerkCircle membership card before purchasing or paying for eligible goods or services.

Relevant staff should check that:

Membership cards are for the named member only and must not be shared or transferred.

Where a valid card is not presented, the Business Partner may refuse the reward.

The Business Partner may choose to honour the offer without a card at its own discretion but is not required to do so.

Staff must not photograph, copy, retain or record personal information from a membership card unless there is a clear and lawful reason to do so.


14. One card per table

For restaurants, cafés and other table-service businesses, one valid PerkCircle membership card will normally activate the published offer for the eligible table bill.

The named cardholder must:

Other guests at the table do not need to be PerkCircle members.

This arrangement recognises that the member may have encouraged friends or family to choose the participating business and brought additional custom with them.

The Business Partner may apply:

where this has been agreed in advance and clearly stated in the published offer.


15. Staff awareness

The Business Partner must take reasonable steps to ensure relevant members of staff:

PerkCircle may provide staff instructions, posters, window stickers and other materials to support the Business Partner.

No specialist equipment or PerkCircle till system is required.

The Business Partner remains responsible for deciding how any reward is processed through its own till, booking, accounting or payment systems.


16. Business listings

PerkCircle may publish information provided by the Business Partner, including:

PerkCircle will use reasonable care when creating and maintaining listings but cannot guarantee that every listing will be free from errors.

The Business Partner must check its published listing and promptly report any error or required amendment.


17. Permission to promote the Business Partner

The Business Partner gives PerkCircle non-exclusive, royalty-free permission to use its supplied:

Ownership of the Business Partner’s branding remains with the Business Partner.

PerkCircle may resize, crop or reformat supplied materials to fit a layout but will not knowingly alter their meaning or misrepresent the business.

This permission continues during the partnership and for a reasonable period afterwards while existing printed or digital materials are updated or removed.


18. Use of PerkCircle branding

PerkCircle retains ownership of its:

The Business Partner may use approved PerkCircle branding only to promote its current participation in the scheme.

PerkCircle branding must not be:

The Business Partner must remove or stop using PerkCircle branding when participation ends or when reasonably requested.


19. Keeping business information current

The Business Partner must promptly notify PerkCircle of changes to:

The Business Partner remains responsible for the accuracy of information it supplies.

Until PerkCircle confirms and publishes an amendment, the existing published offer and conditions remain applicable.


20. Business responsibilities

The Business Partner remains solely responsible for:

The Business Partner must maintain the licences, permissions, registrations and insurance reasonably required for its activities.

PerkCircle is not the seller, manufacturer, supplier or service provider for goods and services purchased from a Business Partner.

The description “Business Partner” refers only to participation in the PerkCircle scheme. It does not create:


21. No guarantee of results

PerkCircle will use reasonable efforts to promote the scheme and participating businesses.

However, PerkCircle does not guarantee:

The Business Partner remains responsible for assessing the likely cost and commercial suitability of its chosen offer.


22. Member complaints and failure to honour an offer

A member may contact PerkCircle if they believe that a participating business has failed to honour a published offer.

PerkCircle may:

PerkCircle will seek to resolve genuine misunderstandings reasonably.

The Business Partner remains responsible for dealing directly with complaints about its products, services, staff or customer service.

Repeated or unjustified failure to honour the agreed offer may result in:

Where appropriate, the Business Partner will normally be given a reasonable opportunity to explain and resolve the issue.


23. Temporary closure and exceptional circumstances

The Business Partner must contact PerkCircle as soon as reasonably possible where an unexpected event affects its ability to trade or honour its offer.

This may include:

PerkCircle may temporarily update, hide or suspend the listing while the situation is addressed.

The Business Partner and PerkCircle will work together reasonably regarding any qualifying reservations already made.

A temporary suspension under this section must not be used merely because an offer has proved more popular or costly than expected.


24. Withdrawal from PerkCircle

The Business Partner commits to participating for its full agreed period.

The Business Partner should not withdraw merely because:

Where exceptional circumstances make continued participation genuinely impossible, the Business Partner must contact PerkCircle promptly.

PerkCircle will consider the circumstances and may agree:

Withdrawal does not automatically remove the Business Partner’s responsibility to honour qualifying reservations made while its offer was active.


25. Closure, insolvency or change of ownership

The Business Partner must notify PerkCircle promptly where it:

Participation does not automatically transfer to a new owner.

A new owner must contact PerkCircle and agree separately whether the business will continue participating.

PerkCircle may suspend or remove a listing where it reasonably believes the business has ceased trading or changed ownership.


26. Suspension and termination by PerkCircle

PerkCircle may suspend or terminate the Business Partner’s participation where the Business Partner:

In serious or urgent cases, PerkCircle may suspend or terminate participation immediately.

After participation ends, the Business Partner must:


27. Liability

PerkCircle operates and promotes the membership scheme. The Business Partner remains responsible for all goods and services it supplies.

PerkCircle is not responsible for:

To the extent permitted by law, PerkCircle will not be liable for indirect or consequential business losses, including loss of:

arising from participation in the scheme.

Nothing in these terms excludes or restricts liability for:

Any other exclusion or limitation applies only to the extent that it is lawful and reasonable. UK government guidance confirms that liability for death or personal injury caused by negligence cannot be excluded and that other negligence exclusions in business contracts are subject to a reasonableness test.


28. Data protection and privacy

PerkCircle may use the personal and business-contact information supplied by the Business Partner to:

PerkCircle will not sell the Business Partner’s personal contact information to advertisers.

Operational messages necessary to administer the partnership are separate from optional marketing communications.

PerkCircle’s Privacy Policy should identify what information is collected, its purposes, the relevant lawful basis, who receives it and how long it is retained. ICO guidance requires organisations to identify a valid lawful basis before processing personal information and explain the purpose and lawful basis in their privacy information.


29. Changes to these terms

PerkCircle may make reasonable changes to these terms where necessary to reflect:

Business Partners will receive reasonable notice of any material change affecting their responsibilities.

Material changes will normally take effect from the next renewal unless:

A change to these terms will not retrospectively remove an obligation to honour a qualifying reservation already made.

The latest version will be published on the PerkCircle website.

PerkCircle will retain previous dated versions so that it is possible to identify which terms applied to each Business Partner.


30. Communications and notices

PerkCircle may communicate with the Business Partner using the:

recorded on the Sign-Up Form.

The Business Partner must keep its contact information current.

Formal notices relating to a material contract change, suspension or termination should be provided in writing, including by email.

A communication sent to the most recent contact details supplied by the Business Partner will be treated as properly sent.


31. Transfer of the agreement

The Business Partner may not transfer, assign or pass its participation to another person, owner or business without PerkCircle’s written agreement.

PerkCircle may transfer the operation of the scheme to another legal entity as part of a genuine business reorganisation or sale, provided that this does not materially reduce the Business Partner’s contractual rights.


32. Entire agreement and priority

These terms, the accepted Sign-Up Form, the accepted member offer and any later written amendments form the entire agreement between PerkCircle and the Business Partner regarding participation in the scheme.

Where a specific condition recorded on an accepted Sign-Up Form conflicts with a general provision in these terms, the specifically agreed written condition will take priority for that offer.

Nothing said informally will change the agreement unless confirmed in writing.


33. Third-party rights

Unless expressly stated otherwise, no person other than PerkCircle and the Business Partner has the right to enforce this agreement.

This does not prevent a member from enforcing any separate statutory rights they may have against the Business Partner in relation to goods or services supplied by that Business Partner.


34. Severability

If any provision of these terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

The affected provision will be treated as modified only to the minimum extent necessary to make it valid and enforceable.


35. Waiver

If either party delays or fails to enforce a right under the agreement, this does not mean that the right has been waived.

A waiver is only effective where it is clearly confirmed in writing.


36. Resolving disagreements

PerkCircle and the Business Partner should first attempt to resolve any disagreement through reasonable discussion.

Each party should provide relevant information and allow the other a reasonable opportunity to respond.

Nothing in this section prevents either party from seeking urgent legal relief where necessary.


37. Governing law and jurisdiction

These Business Partner Terms & Conditions and any dispute arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over any dispute.
